1. The agreement

These Terms of Service (the "Terms") are a binding agreement between you and Platform, LLC ("Platform," "we," "us"), which provides Ownerlane, the Nicobot assistant, the Ownerlane website and apps, the Ownerlane Telegram bot, and every related feature (together, the "Service").

The Privacy Policy and the Acceptable Use Policy are part of these Terms. By ticking the box when you create an account, by accepting an updated version when asked, or by using the Service, you agree to all three. If you do not agree, do not use the Service.

If you use the Service for a business or other organization, you agree on its behalf and confirm you have authority to do so; "you" then means both you and that organization.

2. Who can use Ownerlane

You must be at least 18 years old and able to form a binding contract. The Service is built for businesses and people running them; it is not for personal, family or household use and is not directed to children.

You may not use the Service if we have previously suspended or terminated your account, or if you are barred from receiving services under the laws of the United States or any other applicable jurisdiction.

3. Your account and security

Give us accurate information and keep it current. You are responsible for everything done through your account, your workspaces and any Telegram account you connect, including by teammates you invite. Keep your password, email and devices secure, and tell us at once through Support if you suspect unauthorized use.

We may require extra verification, such as a code sent to your email, and periodic password changes. Workspace owners control who joins their workspace and what role they hold.

4. What Nicobot does, and your approvals

Nicobot is an AI assistant that can build websites and software, draft messages, research, organize contacts and carry out other work you ask for. Some actions, such as putting a site live, sending messages to your customers, changing domain or DNS settings or spending money, wait for your approval before they happen.

You are the decision-maker. When you approve an action, you authorize it and accept responsibility for it. AI output can be wrong, incomplete, out of date or unsuitable for your situation. Review what Nicobot prepares before you approve it or rely on it. Nicobot does not give legal, tax, medical, financial or other professional advice, and nothing it produces replaces a qualified professional.

We may change, add or remove features, models and integrations. We may refuse, limit or stop any request that we believe breaks these Terms, the Acceptable Use Policy or the law, or that could harm people, the Service or others.

5. Your content and your websites

"Your Content" means what you and your team provide to the Service (messages, files, logos, photos, customer information, instructions) and what the Service produces for you (websites, software, copy, images and other output). As between you and us, you own Your Content, subject to the rights of others in anything you supplied.

You give us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, adapt and display Your Content only as needed to run, secure, support and improve the Service for you, and to comply with law. This license ends when Your Content is deleted from the Service, except for copies we must keep by law or in routine backups until they expire.

You confirm you have every right, license and consent needed for Your Content, including permission to use any names, likenesses, trademarks, photos and personal information it contains, and permission to contact the people you ask Nicobot to contact.

You are solely responsible for every website, app, page, message and other material you publish or send using the Service, including its accuracy, legality, claims, offers, prices, licenses, accessibility, privacy notices, and compliance with the laws that apply to your business and your customers. Platform, LLC does not review, endorse or take responsibility for your published websites or their content, and is not liable for them or for any dealings between you and your customers or visitors.

6. Acceptable use and lockout

You must follow the Acceptable Use Policy. It prohibits, among other things, content or activity that threatens or incites violence, harasses or dehumanizes people, exploits vulnerable people, sexually exploits anyone and in particular women and children, or threatens government officials.

If we believe you have broken it, we may remove or disable content, take websites offline, block requests, and suspend or permanently lock you out of your account and workspaces. Where the law requires it, or where we believe in good faith that someone's life or safety is at risk, we will report the matter and preserve related information for the appropriate authorities. Section 5 of the Acceptable Use Policy explains how we decide and how to appeal.

7. Connected services

You can connect other services (for example Telegram, domain registrars, DNS providers, payment, email, CRM, voice or app build services). When you do, you authorize us to access and act in those services on your behalf within the permissions you grant and the approvals you give. Those services are provided by third parties under their own terms and privacy policies, which you are responsible for following. We are not responsible for third-party services, their availability, or changes they make.

Domains bought through the Service are registered with a third-party registrar in your name or for your benefit, are subject to the registrar's terms, and renew only as described when you buy them. You are responsible for keeping a domain renewed and its contact details accurate.

8. Plans, credits and billing

Work done by Nicobot uses credits. Plans include a monthly allotment of credits; you can buy more at any time. Prices, allotments and what each plan includes are shown on the pricing page and in your workspace when you buy, and may change as described below.

  • Credits have no cash value, are not property, cannot be transferred, sold or exchanged, and are used oldest first. Credits included with a plan or given free expire six (6) months after they are granted. Purchased credits do not expire. Expired credits are gone and are not refunded.
  • Automatic renewal. Paid plans renew automatically at the end of each monthly or annual period at the then-current price, and we charge your saved payment method, until you cancel. You can cancel at any time in Plan & billing; cancellation takes effect at the end of the current period, and you keep access until then.
  • Taxes. Prices do not include taxes unless stated. You are responsible for applicable taxes, which we may collect.
  • Failed payments. If a payment fails we may retry it, limit the Service, pause work, and after notice suspend websites and domains connected to the workspace until the balance is paid.
  • Price changes. We will give at least 14 days' notice of a price increase on a paid plan. It applies from your next renewal; if you don't accept it, cancel before then.
  • Promotions. Promo codes and special offers carry their own conditions, have no cash value and may end at any time.

Payments are processed by our payment processor; we do not store your full card number.

9. No refunds

All fees and purchases are final and non-refundable, including subscription fees, partial billing periods, unused or expired credits, domain registrations and renewals, and downgrades or cancellations part-way through a period, except where a refund is required by applicable law. We may, at our sole discretion, issue credits or a refund for a service problem we caused; doing so once does not oblige us to do it again.

Credits bought in the iPhone app are sold and billed by Apple through the App Store. Apple handles refund requests for those purchases under its own terms (reportaproblem.apple.com); if Apple refunds one, the credits it bought are taken back.

10. Our property

The Service, including its software, design, the names Ownerlane and Nicobot, and our logos, belongs to Platform, LLC and its licensors and is protected by law. We give you a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. You may not copy, resell, reverse engineer or build a competing product from the Service, scrape it, get around its limits or security, or access it by automated means other than those we provide. If you send us feedback or suggestions, we may use them without any obligation to you.

11. Copyright complaints

If you believe material hosted through the Service infringes your copyright, send a notice to info@theplatformllc.com identifying the work, the material and where it appears, your contact details, a statement of good-faith belief that the use is not authorized, and a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, with your physical or electronic signature. We may remove the material and, in appropriate circumstances, terminate the accounts of repeat infringers.

12. Ending your account

You can stop using the Service and cancel your plan at any time. We may suspend or end your access at any time if you break these Terms, if required by law, if your account is inactive for a long period, or if we stop offering the Service; where reasonable, we will tell you first.

After your account ends, your right to use the Service stops, your websites hosted by us may be taken offline, and we may delete Your Content after a reasonable period described in the Privacy Policy. Sections that by their nature should survive (including ownership, payment owed, no refunds, disclaimers, limits of liability, indemnity and disputes) survive.

13. Disclaimers

The Service and everything produced with it are provided "as is" and "as available." To the fullest extent permitted by law, Platform, LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service or its output will be accurate, reliable, uninterrupted, secure or error-free, or that websites will rank, convert or remain online.

14. Limits on our liability

To the fullest extent permitted by law, Platform, LLC and its members, managers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, customers, data, goodwill or business interruption, arising from or related to the Service, Your Content, your websites, or these Terms, even if advised of the possibility.

Our total liability for all claims arising from or related to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or one hundred US dollars (US $100).

Some jurisdictions do not allow some of these limits; in those places they apply to the extent allowed.

15. Your indemnity

You will defend, indemnify and hold harmless Platform, LLC and its members, managers, employees and contractors from and against any claims, losses, liabilities, damages, fines, costs and expenses (including reasonable attorneys' fees) arising from Your Content, your websites and other published material, your use of the Service, actions you approved, your dealings with your customers, or your breach of these Terms or the law.

16. Disputes, arbitration and Florida law

These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law rules. Before starting any formal dispute, contact us at info@theplatformllc.com and give us 30 days to try to resolve it informally.

Binding arbitration. Any dispute that isn't resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Florida, except that either party may bring an individual claim in small-claims court, and either party may seek an injunction in court to protect intellectual property or stop misuse of the Service. Judgment on the award may be entered in any court with jurisdiction.

You and Platform, LLC each waive the right to a jury trial and to take part in a class, collective or representative action. Claims may be brought only individually.

If the arbitration agreement is found unenforceable for a dispute, that dispute will be heard only in the state or federal courts located in Florida, and both parties consent to their jurisdiction. Any claim must be brought within one (1) year after it arose, where the law allows that limit.

17. Changes to these Terms

We may change these Terms, the Privacy Policy and the Acceptable Use Policy from time to time. When we make a material change, we will update the version and effective date shown above and notify you by email or in the Service. You will be asked to accept the new version before you continue using the Service. If you don't agree to a change, stop using the Service and cancel your plan. Continued use after a change takes effect also means you accept it.

18. General

These Terms, with the Privacy Policy and Acceptable Use Policy, are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect and the part is enforced as far as allowed. Our not enforcing a right is not a waiver. You may not transfer these Terms without our consent; we may transfer them with our business. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be sent to your account email or shown in the Service. Nothing in these Terms creates a partnership, agency or employment relationship.
